Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and Cygnova, a general partnership registered in Ontario, Canada (Business Identification Number 1001690173), which operates Balance Sheep (the "Service"), available at balancesheep.net ("we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm you have authority to bind that business.

2. What the Service does

The Service connects your Etsy shop to your QuickBooks Online company and automates bookkeeping entries — such as sales receipts, fee entries, and payout transfers — based on data retrieved from Etsy's API. Optional features may include expense recording, reconciliation checks, product/SKU mapping, and per-buyer customer records.

The Service is a data-automation tool, not an accounting, tax, or legal advisor. See Section 8.

3. Your account

• You must be at least 18 and provide accurate account information.
• You are responsible for keeping your credentials confidential and for all activity under your account. The Service permits one active sign-in session per account.
• You must have the right to connect the Etsy shop and QuickBooks company you link to the Service.

4. Third-party services (Etsy and Intuit)

• The Service depends on Etsy's and Intuit's APIs. Your use of Etsy and QuickBooks remains governed by their own terms, and you authorize us to access those accounts on your behalf via OAuth.
• We are not responsible for outages, changes, or limits imposed by Etsy or Intuit, though we will make reasonable efforts to adapt to them.
• The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc. QuickBooks and Intuit are trademarks of Intuit Inc. Balance Sheep is not affiliated with, or endorsed by, Etsy, Inc. or Intuit Inc.

5. Subscriptions, billing, and cancellation

5.1 Plans and pricing

Pricing is tiered by order volume and connected sales channels, as published at balancesheep.net/pricing. Reconciliation is included in every tier; optional add-ons (e.g., an extra channel, historical backfill, and guided onboarding) are billed separately as listed there. We may change pricing with at least 30 days' notice; changes take effect at your next renewal.

5.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annual) via our payment processor and renew automatically until cancelled. Applicable taxes (e.g., GST/HST) are added where required. If your order volume exceeds your tier, we may prompt you to upgrade.

5.3 Cancellation

You can cancel at any time in the app. Cancellation takes effect at the end of the current billing period; you keep access until then. After cancellation we revoke our access to your Etsy and Intuit accounts and delete your data per the Privacy Policy (within 30 days). Entries already written to your QuickBooks company remain yours.

5.4 Refunds

If the Service doesn't work for you, contact us within 14 days of your first payment for a full refund. Renewals are non-refundable.

5.5 Non-payment

If a renewal payment fails, we may suspend the Service after 7 days' notice and terminate the account if payment is not resolved.

6. Acceptable use

You agree not to:

• Use the Service to violate any law, or Etsy's or Intuit's terms
• Attempt to access other customers' data, probe, or disrupt the Service
• Reverse-engineer, resell, or white-label the Service without our written consent
• Use the Service with data you have no right to process

We may suspend or terminate accounts that violate these Terms, with notice where practical.

7. Your data and our IP

• Your data stays yours. You grant us only the license needed to operate the Service on your data (retrieve it from Etsy, transform it, and write it to your QuickBooks company, plus the audit trail described in the Privacy Policy).
• The Service itself — software, design, and content — is our intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use it while subscribed.
• You may give us feedback; we may use it without obligation.

8. Disclaimers — please read

• You are responsible for your books. The Service automates data entry based on rules you configure. You (or your accountant) are responsible for reviewing the results and for the accuracy of your financial records, tax filings, and remittances. Nothing in the Service is accounting, tax, or legal advice.
• Sync results depend on the data Etsy and Intuit provide and on your configuration (account mappings, tax settings, toggles). Verify your setup, especially in your first billing periods.
• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR PENALTIES/INTEREST ASSESSED BY ANY TAX AUTHORITY; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions; in that case these limits apply to the fullest extent permitted.

10. Indemnity

You will indemnify us against third-party claims arising from your data, your use of the Service in violation of these Terms, or your violation of law or third-party rights (including Etsy's or Intuit's terms).

11. Termination

We may terminate or suspend the Service for material breach of these Terms, or discontinue the Service entirely with at least 60 days' notice (with a pro-rata refund of prepaid, unused fees in that case). Sections 7–10 and 12 survive termination.

12. General

• Governing law: These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein; courts of Ontario have exclusive jurisdiction.
• Changes: We may update these Terms; material changes will be notified by email or in-app at least 30 days before taking effect. Continued use after the effective date is acceptance.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
• Entire agreement / severability / waiver: These Terms plus the Privacy Policy are the entire agreement; if a provision is unenforceable the rest remain in effect; failure to enforce is not a waiver.
